Special Terms applicable to Subscription Services
These Special Terms applicable to paid tier Subscription Services (the “Special Terms”) are in addition to and are governed by the Session Terms of Use (the “Terms of Use”) together with our Privacy Policy and any other terms specifically referred to in any of those documents (collectively “the Documents”). In the event of a conflict between the Special Terms and any other Documents, the Special Terms shall prevail solely in respect to your use of the paid tier Subscription Services. Capitalized terms used in these Special Terms not specifically defined in the Terms of Use shall have the meanings given to the applicable capitalized terms in the Documents.
Subscriptions
Certain features of the Service or Service options are only available to registered users who subscribe for a paid subscription (including but not limited to those subscriptions currently known as “Creator” tier and/or “Pro” tier (together, “Subscriptions”)). Below, you’ll find a few additional terms that apply to those Subscriptions, including amongst other things, terms relating to payment, the conclusion and renewal of your Subscription, your right of withdrawal during the first fourteen (14) days of your subscription, and certain technical usage limitations.
Subscription features and prices
A detailed description of our Subscriptions, including the prices and the features associated with each type of account, is available on our Subscriptions Pricing & Plans page of our website or within the subscription settings of the Service.
All prices include VAT or other sales tax where applicable.
Different currencies to that displayed on the Pricing & Plans page of our website may be available for you to select in the purchase process. Different currencies may have different prices or different effective values due to exchange rate fluctuations.
Selecting and purchasing Subscriptions
From your Account Settings - Subscriptions, simply select the Subscription you want to purchase from the Subscription Plan Page, then select your preferred billing cycle. Next enter your payment details via our payment partner Stripe and then click the “Subscribe” button. Selecting a Subscription and submitting your payment information is an offer to conclude a contract. The contract itself is not concluded until you receive confirmation from us or until we activate your Subscription, as described below.
Conclusion of the contract and start of the Subscription
Once your payment has been received, your Subscription will be activated, and we will send confirmation of your activated subscription by email to the address associated with your account; this does not apply to the “Free” tier, which does not require a payment.
The contract for your Subscription is concluded when you receive our confirmation email (or when we activate your account, if this happens first), not when you make your payment.
Payment
Payments for Subscription are payable in advance and will be taken at the time the contract is concluded as described above. Payment can be made by Stripe and/or any other payment method that is presented to you during the purchase process.
Term and renewal of Subscriptions
If you choose a monthly payment option, your Subscriptions will run from month to month, and will renew automatically at the end of each monthly period, unless you cancel your Subscription before the applicable date of renewal. Payment for the next monthly period will be taken at the applicable date of renewal.
If you purchase an annual Subscription, your initial Subscription will be for a twelve (12) month period, and your Subscription will renew automatically for additional, successive twelve (12) month periods thereafter. We will automatically charge your payment account for the associated Subscription fee on the date of commencement of each applicable twelve (12) month renewal period, unless you cancel your Subscription before the applicable date of renewal. You can cancel your Subscriptions at any time on from your Account Settings - Subscription and choose Manage, where you will also find your Subscription expiry date.
AUTOMATIC RENEWAL: AS STATED ABOVE, IF YOU DO NOT CANCEL YOUR SUBSCRIPTION PRIOR TO THE COMMENCEMENT OF AN APPLICABLE MONTHLY OR TWELVE (12) MONTH RENEWAL PERIOD, WE WILL AUTOMATICALLY CHARGE YOUR PAYMENT ACCOUNT AT THE BEGINNING OF EACH SUCCESSIVE MONTHLY OR TWELVE (12) MONTH PERIOD, AS APPLICABLE.
Upgrading and downgrading between Subscriptions
You can upgrade or downgrade between different Subscriptions at any time on your subscriptions tab on our website. If you upgrade or downgrade you will immediately be charged, or receive credit for, the difference in price. This is determined based on how far you are into your initial Subscriptions at the time you upgrade or downgrade. Your renewal date of your Subscriptions will switch to the day you changed your Subscriptions. If cancelling to a non paid tier you will keep your premium access for the already paid billing period and no refunds will be made.
Redeeming gift Codes
If you have been given a promo code or a Subscription as a gift, you can activate your Subscription or redeem your code by entering details on the subscription page where prompted. Gift or promo codes must be redeemed (i.e. the applicable Subscription must be activated) within a timeframe which may be notified to you at the point of receiving such codes, and in any event must be redeemed within three years of the date of purchase. We are unable to offer any kind of refund or exchange for any gift code that is not redeemed within this period.
Right of withdrawal
Under European law you also have a legal right to withdraw from your purchase of a Subscription within fourteen (14) days of your purchase, as set out below:
Model instructions on withdrawal: You have the right to withdraw from this contract within fourteen (14) days without giving any reason. The withdrawal period will expire after fourteen (14) days from the day of the conclusion of the contract.
To exercise the right of withdrawal, you must inform us of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by email) to support@sessionstudio.com.
You may use the attached model withdrawal form set out in the appendix to these Special Terms, but it is not obligatory. To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
Effects of withdrawal
If you withdraw from this contract, we shall reimburse you with all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than fourteen (14) days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement. If you requested to begin the performance of services during the withdrawal period, you shall pay us an amount which is in proportion to what has been provided until you have communicated your withdrawal from this contract, in comparison with the full coverage of the contract.
Following receipt of your notice of withdrawal, we will downgrade your paid tier Subscription, restrict tier related features and any Content in your account that exceeds the then current upload limits for a free account will be hidden. You will be instructed on how to remove content to adhere to the Free tier restrictions.
If you wish to delete your account altogether, you can do this from your Settings page on our website.
Technical usage limitations
Please note that Subscriptions are subject to storage limits. Details of these limits are more specifically set out on the Subscription Plan Page or within the subscription settings of the Service.
Changes to pricing and features
We may occasionally need to change the features of our Subscriptions and/or change the prices charged to these accounts. In the event of any increase in the price or material reduction in the features of any Subscriptions to which you subscribe, we will communicate these change(s) to you at least four (4) weeks in advance and the changes will only take effect with respect to any subsequent renewal of your subscription.
